1. Acceptance of Terms
By accessing and using the services of Twixio Digital (“Company”), including our website and digital marketing services, you (“Client”) agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, please refrain from using our services.
2. Services Provided
Twixio Digital offers a range of digital marketing services, including but not limited to performance marketing, media buying, marketing automation, and PPC campaign management. Specific services and deliverables are outlined in individual agreements or statements of work.
3. Client Responsibilities
- Provision of Information: The Client agrees to provide all necessary information, materials, and approvals required for the Company to perform its services effectively.
- Compliance: The Client warrants that all content and materials provided do not infringe on any third-party rights and comply with all applicable laws and regulations.
4. Fees and Payment
- Pricing: Fees for services are detailed in individual agreements. All fees are exclusive of taxes, which remain the Client’s responsibility.
- Payment Terms: Invoices are payable within 30 days of receipt. Late payments may incur interest charges as permitted by law.
5. Intellectual Property
- Ownership: All intellectual property rights in materials created by the Company during the provision of services remain with the Company until full payment is received. Upon payment, rights may transfer to the Client as specified in the agreement.
- License: The Client grants the Company a non-exclusive, royalty-free license to use the Client’s trademarks and content solely for the purpose of providing the agreed-upon services.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the term of the agreement. Such information shall not be disclosed to any third party without prior written consent, except as required by law.
7. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided. The Company’s total liability is limited to the total fees paid by the Client for the specific service giving rise to the claim.
8. Termination
- For Convenience: Either party may terminate the agreement with 30 days’ written notice.
- For Cause: Either party may terminate immediately if the other party breaches a material term of the agreement and fails to remedy the breach within 14 days of notice.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in London, United Kingdom.
10. Amendments
The Company reserves the right to modify these Terms at any time. Any changes will be communicated to the Client, and continued use of the services constitutes acceptance of the modified Terms.
